Section 11
Resignation of director and filling of vacancy
: (1) A director may resign from his office by giving written notice to the board. Once the resignation is accepted, he will be deemed to have resigned.
(2) If the position of a director becomes vacant due to death, resignation or any other reason, the vacant position shall be filled by another nomination or election as the case may be. Such directors will remain in that position only for the remainder of the tenure of their predecessors.
(3) Even if there is an error in the formation of the board or an action has been taken by the board due to the vacancy of a director, such action cannot be canceled for that reason alone.
